1. Acceptance
By creating an account, installing the browser extension, or otherwise accessing Flowarden (the "Service"), you agree to these Terms of Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers to both you and that organisation.
If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 and legally able to enter a contract in your jurisdiction. Use of the Service from jurisdictions where any part of it would be illegal is prohibited.
3. Account & security
- You are responsible for all activity under your account.
- You must provide accurate, current information.
- Notify us at security@flowarden.com of any unauthorised access.
- You may not share your login credentials.
- We may suspend or terminate accounts that violate these Terms or that pose a security risk.
4. Our subscription plans
4.1 Free tier
Up to 10 tracked subscriptions, basic detection, and community support. Subject to fair-use limits on API calls.
4.2 Premium & Pro
Paid tiers billed monthly or annually in advance in U.S. Dollars (or the currency your payment method charges in). Current pricing is listed at /billing.
4.3 Auto-renewal
Paid plans renew automatically at the end of each billing cycle unless cancelled. You authorise our payment processor (Paddle, see Section 4.6) to charge your payment method for each renewal. We send an email reminder at least 14 days before each annual renewal.
4.4 Price changes
We may change prices with at least 30 days' notice. Any change takes effect on your next billing cycle; you may cancel before then if you do not agree.
4.5 Taxes
Prices do not include taxes. You are responsible for any applicable sales, use, value-added, withholding, or other taxes, which Paddle may collect and remit on our behalf where required.
4.6 Payment processor & Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms.
4.7 Refunds & cancellation
You may cancel any paid plan at any time from Settings → Billing → Cancel; your plan remains active through the end of the current billing cycle and will not renew.
We offer a 14-day money-back guarantee on new paid plans: if you are not satisfied, request a full refund within 14 days of your initial purchase. 5. Test card generator (developer utility)
The test card generator produces Luhn-valid dummy test numbers intended for QA, staging, and checkout-form development. The numbers have no balance, no cardholder, and no funding source, are not issued by any bank or card network, and will be declined by any real payment processor. They are not a payment instrument and must not be used to attempt purchases or to evade legitimate merchant billing. Misuse may violate the relevant merchant's terms of service and applicable law, and we may suspend accounts that do so.
6. Acceptable use
You will not (and will not encourage others to):
- Use the Service for any illegal purpose, including money laundering, terrorism financing, tax evasion, or violating sanctions.
- Attempt to gain unauthorised access to any account, server, or network.
- Reverse-engineer, decompile, or scrape the Service beyond documented APIs and rate limits.
- Use the Service to send spam, malware, or phishing.
- Upload defamatory, obscene, or infringing content.
- Interfere with or disrupt the Service or its users.
- Use automated systems (bots, scrapers) without our written permission.
7. Your content & data
- You retain all rights to data you submit ("Your Data").
- You grant us a worldwide, royalty-free, non-exclusive licence to use, host, process, and display Your Data solely to operate the Service.
- We claim no ownership over Your Data.
- You represent that you have the rights necessary to submit Your Data.
- You can export or delete Your Data at any time from Settings.
8. Third-party services
The Service integrates with Plaid, Paddle, Resend, Twilio, Google, and others. Your use of those integrations is governed by their respective terms, which you accept when you connect them or complete a checkout. We are not responsible for their outages, errors, or changes.
9. Intellectual property
All rights in the Service (excluding Your Data), including all software, designs, logos, and documentation, are owned by us or our licensors. You receive only a limited, revocable, non-transferable licence to use the Service as permitted by these Terms.
10. Beta features
We may label features as "Beta", "Preview", or "Experimental". Beta features are provided as-is, may be modified or discontinued without notice, and are not subject to any service-level commitment.
11. Feedback
Any suggestions, ideas, or feedback you send us are non-confidential and may be used by us without restriction or compensation.
12. Warranties
Except as expressly stated, the Service is provided "as is" and "as available". We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure from every attack.
13. Limitation of liability
To the maximum extent permitted by law:
- Our aggregate liability to you for all claims is capped at the greater of US $100 or the amount you paid us in the 12 months preceding the claim.
- We will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or goodwill.
These limits do not apply to liability that cannot be excluded by law (e.g., gross negligence, fraud, or death/personal injury caused by our negligence).
14. Indemnification
You agree to defend, indemnify, and hold harmless Flowarden and its officers, directors, employees, and agents from any claim, loss, or expense (including reasonable legal fees) arising from (a) Your Data, (b) your breach of these Terms, or (c) your violation of any law or third party right.
15. Termination
- By you: cancel anytime from Settings → Billing → Cancel. Your plan ends at the close of the current billing cycle.
- By us: we may suspend or terminate immediately for violations of these Terms, security reasons, or non-payment; otherwise with 30 days' notice.
- Effect: upon termination your access ends and all licences granted to you under these Terms cease. You retain export rights for 30 days.
16. Dispute resolution & arbitration
16.1 Informal resolution first
Before filing a claim, please email legal@flowarden.com and give us 30 days to resolve it.
16.2 Binding arbitration
Any dispute that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will be held in San Francisco, California (or your home county if you live in the U.S. and elect that), and the arbitrator's decision may be entered as a judgment in any court of competent jurisdiction.
16.3 Class-action waiver
You and Flowarden each waive the right to participate in a class, collective, or representative action. This waiver is material; if a court finds it unenforceable, Section 16.2 is also unenforceable as to that dispute.
16.4 Opt out
You may opt out of arbitration within 30 days of creating your account by emailing legal@flowarden.com with the subject "Arbitration opt-out".
16.5 Exceptions
Nothing in this Section prevents either party from seeking injunctive relief in court for intellectual-property disputes or small-claims court actions.
17. Governing law
These Terms are governed by the laws of the State of Delaware, U.S.A., excluding conflict-of-law rules. For residents of the EEA/UK, mandatory local consumer protection laws apply where they would otherwise.
18. Force majeure
Neither party is liable for failure to perform caused by events beyond reasonable control (natural disasters, war, terrorism, labour disputes, infrastructure outages, laws, or government actions).
19. Assignment
You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets on 30 days' notice.
20. Modifications
We may amend these Terms by posting an updated version and notifying active users by email. Changes take effect 30 days after notice, except for new features where use implies acceptance.
21. Entire agreement & severability
These Terms, the Privacy Policy, and any order form or DPA constitute the entire agreement between you and us. If any provision is held unenforceable, the remainder continues in full force.
